Recover investment money in Dubai: an overseas investor reviewing a partnership agreement and bank transfers

To recover investment money in Dubai from a business partner, start by establishing what your money legally was: a loan, an investment in a company, or a share in an informal partnership. That decides what you can claim back. Then secure your evidence, send a formal legal notice, and choose between a civil claim and a criminal complaint.

The pattern is familiar to overseas investors. Money is placed with a UAE company or a trusted partner, profit arrives for two or three years, then payments stop and replies slow down. This guide is written for investors in the USA, UK and Europe in that position, and explains the routes available under current UAE law, including the changes that took effect in 2026. It also covers how to recover money from a business partner in the UAE when the arrangement was never written down.

Is Your Money a Loan, an Investment or a Partnership Share?

Your money can be treated as a loan, an investment in a company, or a share in an informal partnership, and each one gives you different rights.

  • A loan has to be repaid whatever happens to the business. For commercial loans, agreed interest can also be claimed.
  • An investment as a registered partner or shareholder shares in profits and losses. Your capital is not automatically repayable, but you have rights as a partner, including access to accounts and claims against a manager who misuses the company.
  • An informal partnership or side arrangement is often not registered anywhere. Your claim then rests on what was agreed and what you can prove.

Why the Label Decides What You Can Recover

For example, an investor who sent money to a friend’s Dubai trading company and received a fixed monthly “profit” may in substance have made a loan, even though everyone called it an investment. A registered shareholder in the same company generally shares in losses as well as profits, so recovering capital depends on the company’s position and the partners’ agreements.

The word used in WhatsApp messages is not decisive on its own. What the documents, transfers and payment history show carries more weight, which is why the label is the first thing we assess.

Guaranteed Profit Deals and UAE Company Law

Under the UAE Commercial Companies Law, Federal Decree-Law No. 32 of 2021, partners in a company share its profits and losses. The law states that a company agreement that denies a partner profits, relieves a partner of losses, or gives a partner a fixed return for their contribution is null and void.

This matters because many investment arrangements promise exactly that: a fixed monthly return with no risk. Where your arrangement was built on a guaranteed return, your claim may be framed around recovering your money rather than enforcing a share of profits that the law does not recognize.

Investing Without a Written Agreement

An investment without a contract can still be proven. Bank transfer receipts are the strongest starting point because they show the money moved, but on their own they do not show why it moved. Messages and emails in which your partner acknowledges the investment, the agreed share or the amount owed fill that gap.

We take on cases without a cheque or a signed contract where there are bank transfer receipts and written acknowledgments on WhatsApp or email.

What to Do When a Business Partner in Dubai Stops Paying Profit

When a business partner in Dubai stops paying profit, act quickly but in the right order:

  1. Secure your evidence. Export WhatsApp chats with dates, save emails, and keep every transfer receipt and document in its original form.
  2. Ask in writing for an explanation and for the company’s accounts.
  3. Do not sign anything new, such as a revised schedule or an acknowledgment of a lower amount, before taking advice.
  4. Check what security you hold. If you hold a security cheque, read how to enforce a bounced cheque in the UAE.
  5. Send a formal legal notice. We prepare it within 2 to 3 working days.

Your Right to See the Company Accounts

Registered partners have information rights under the Commercial Companies Law. A partner in a limited liability company can inspect the balance sheet, the profit and loss account and the annual report. A partner can also ask in writing for a copy of the last audited accounts, which the company must provide within 10 days.

An investor whose name does not appear on the company’s records generally does not have these statutory rights. In a profit share dispute in the UAE, that makes written evidence of the arrangement even more important.

Evidence That Proves an Investment

Under the UAE Evidence Law, Federal Decree-Law No. 35 of 2022, emails and other modern means of communication are treated as electronic evidence with the same weight as informal written documents. The party who disputes that evidence has to prove it is not genuine.

In practice, the most useful messages are those in which your partner confirms the amount received, what it was for, and what was promised in return.

Do Not Sign a Settlement Letter Before Advice

Partners who stop paying often send something to sign: a new repayment schedule, an acknowledgment of a lower amount, or a letter describing past payments as full settlement. Signing it can narrow what you can claim later. A well-drafted settlement can protect you, but a badly worded one can give up rights you did not mean to waive, so have it reviewed first.

Civil Claim or Criminal Complaint: Choosing the Right Route

There are two separate routes when you sue a business partner in Dubai or report what happened, and they do different jobs. A civil claim recovers money. A criminal complaint deals with an offense.

Breach of Trust and Fraud

Breach of trust and fraud are criminal offenses under the UAE Crimes and Penalties Law, Federal Decree-Law No. 31 of 2021.

  • Breach of trust generally concerns money entrusted to someone, for example as an agent, that was then misused.
  • Fraud requires deception, such as using a false name or a false capacity. False statements alone are not enough.

A failed business is not automatically investment fraud in Dubai: a genuine investment that lost money is usually a civil matter. Under the UAE Criminal Procedure Law (Federal Decree-Law No. 38 of 2022), a breach of trust case can be ended by settlement between the parties.

Recovering Capital and Profits Through a Civil Claim

A civil claim is the route for getting your money back. The process runs in three stages:

  • Legal notice: prepared within 2 to 3 working days.
  • Negotiation: handled by email, so you can follow it from abroad.
  • Legal action: where a cheque was given as security, execution usually takes around 2 to 3 months. A claim without a cheque usually takes around 6 to 9 months, approximately.

Once a judgment is issued, we request a travel ban on the debtor the next day, and approval usually comes within a few hours to two days.

Where the amount is fixed, due and confirmed in writing or electronically, the UAE Civil Procedure Law (Federal Decree-Law No. 42 of 2022) also provides a faster payment order procedure. It starts with a notice giving the debtor at least five days to pay.

Check your agreement for an arbitration or DIFC clause before anything else, because it decides where the claim is heard. Under the UAE Arbitration Law, a written arbitration agreement must be followed when the other side relies on it. We handle contracts with DIFC jurisdiction clauses as well as arbitration.

Can You Hold the Manager Personally Liable?

Yes, in some cases. Under the Commercial Companies Law, the manager of a limited liability company is liable to the company, the partners and third parties for:

  • fraud
  • misuse of their powers
  • breaching the law or the company’s memorandum of association
  • gross error

Any clause in the memorandum that says otherwise is void. Partners can also apply to have a manager removed.

This matters when the company itself has been emptied. A claim against the person who ran it can be the realistic way to recover your money.

When the Company Was Not Licensed to Take Investments

Many investment schemes that collapse were never allowed to collect money in the first place.

  • Capital Market Authority: on 1 January 2026, the Securities and Commodities Authority became the Capital Market Authority. Under Federal Decree-Law No. 33 of 2025, no one may carry out financial activities in the UAE without its license or approval. These activities include fund management, portfolio management, investment promotion and financial advice.
  • Central Bank: under Federal Decree-Law No. 6 of 2025, licensed financial activities such as taking deposits also require a license.

An investment taken by an unlicensed business is a serious red flag, and it can change how your claim is built. Before investing again, a due diligence lawyer in Dubai can check a company’s licensing and ownership first.

Recovering an Investment From the USA, UK or Europe

You do not need to travel to the UAE to recover investment money in Dubai. We review your evidence remotely, prepare and send the legal notice, negotiate with your partner by email, and take legal action where needed, keeping you updated in English.

Before starting, we check whether your partner or the company still has assets, business or ties in the UAE. A claim against someone with nothing left in the country may not be worth pursuing, and we will tell you so.

Recover Investment Money in Dubai: FAQs

Can I get my capital back if I already received profits?

Possibly. Receiving profits does not by itself mean your capital has been repaid. The answer depends on whether your money was a loan or an investment, what was agreed, and how the payments were described at the time, so keep every message and receipt.

Can I recover an investment without a contract?

Yes, it can be. Bank transfer receipts show that the money moved, and messages or emails in which your partner acknowledges the investment or the amount owed show why. UAE law treats emails and similar electronic messages as evidence with the same weight as informal written documents.

Is a guaranteed return investment legal in the UAE?

Under the UAE Commercial Companies Law, a company agreement that gives a partner a fixed return, or frees a partner from losses, is null and void. Offering investment services also requires a license from the Capital Market Authority. A promised fixed monthly return is therefore a warning sign, and it affects how your claim is framed.

Should I file a criminal complaint or a civil claim?

A civil claim is the route for recovering your money. A criminal complaint applies where there was fraud or breach of trust, such as money given for a specific investment and then misused. A business that simply failed is usually a civil matter.

Can I stop my partner leaving the UAE?

Yes. Once a judgment is issued, we request a travel ban on the debtor the next day, and approval usually comes within a few hours to two days.

Can I claim interest on my investment?

For commercial loans, the UAE Commercial Transactions Law (Federal Decree-Law No. 50 of 2022) allows the interest rate agreed in the contract. Where no rate was agreed, it allows the prevailing market rate, up to a maximum of 9%. Compound interest cannot be claimed. For a true investment, your return depends on the profits the business actually made.

How long does investment recovery take?

A legal notice is prepared in 2 to 3 working days, and some cases settle during negotiation. Where legal action is needed, cheque execution usually takes around 2 to 3 months, and a claim without a cheque around 6 to 9 months, approximately.

Is there a time limit to claim?

Yes. Under the UAE Commercial Transactions Law, claims between merchants arising from their commercial dealings are generally barred five years after payment fell due. Other claims can have different periods, and the new Civil Transactions Law (Federal Decree-Law No. 25 of 2025), in force from 1 June 2026, has transitional rules, so act early and have the deadline checked for your case.
